These Terms of Service ("Terms") govern your access to and use of OmniaKey (the "Service") operated by the OmniaKey team ("we", "us", "our"). By creating an account or calling the API, you agree to these Terms.

1. What the Service is

OmniaKey is an LLM API aggregation service. We expose one OpenAI-compatible API that routes your calls to upstream large-language-model providers — currently Anthropic (Claude), OpenAI (GPT), and Google (Gemini). We act as a billing, key-management, and routing layer; the underlying model behavior is governed by each upstream provider's own terms of service.

2. Eligibility & geographic availability

The Service is not offered to, and may not be used by, any person located in or ordinarily resident in the mainland of the People's Republic of China (the "Restricted Territory"; for the avoidance of doubt, this excludes the Hong Kong SAR, the Macao SAR, and Taiwan). By creating an account or calling the API, you represent that you are not located in, and are not a resident of, the Restricted Territory. We may verify eligibility and may suspend or refuse access based on your location, IP address, or payment method.

The Service is offered in several interface languages, including Chinese, for the convenience of our users worldwide. The availability of any language does not constitute an offer, solicitation, or provision of the Service in any jurisdiction where doing so would be unlawful or where we do not offer it, including the Restricted Territory.

3. Account & API keys

  • You're responsible for keeping your account credentials and API keys confidential.
  • You're responsible for all usage under your account, including usage you didn't initiate but failed to mitigate after spotting it.
  • API keys can be revoked at any time from /dashboard/tokens; revocation takes effect immediately. If you suspect a key has leaked, rotate it right away rather than waiting for fraud to materialize.

4. Acceptable use

  • All calls you make through the Service must comply with the upstream provider's own policies — notably Anthropic's Acceptable Use Policy, OpenAI's Usage Policies, and Google's Generative AI Prohibited Use Policy. We pass upstream denials and account terminations through to you.
  • You may not attempt to identify, scrape, or unmask the upstream accounts we route through; redistribute provider responses as a bulk dataset; or use the Service to circumvent per-account quotas on any upstream.
  • You may not resell or rebrand the Service as your own API gateway product, or use it to build a direct competitor.
  • The Service is not designed for, and may not be used in, the high-stakes use cases the upstream providers themselves prohibit (medical diagnosis, legal advice, life-critical infrastructure, etc.). Check the upstream policy for the specific model you're calling.

5. Billing

The Service is prepaid and consumption-based. You top up a USD balance from which token usage is deducted as you make calls. There is no subscription and no monthly fee. Your balance does not expire. For the full refund rules see Refund Policy.

6. Service availability

We aim for high availability but do not publish a numeric uptime SLA at this stage. The Service depends on upstream provider availability — when an upstream is degraded, the same condition is visible to you through our API. We do not credit token usage that succeeded upstream, even when overall response latency was poor.

7. Warranty disclaimer

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory, or otherwise. We do not warrant that the Service will be uninterrupted or error-free, that any specific upstream model will remain available, or that any output forwarded from an upstream model is accurate, complete, or fit for a particular purpose.

8. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Service. Our total cumulative liability is capped at the amount you paid us for the Service in the twelve (12) months preceding the claim.

9. Termination

Your access to the Service terminates immediately if you materially breach these Terms (in particular Section 4). Sections 7, 8, and 10 survive termination. Any unused balance at the time of termination is returned per the Refund Policy, except where termination is for material breach of Section 4 — in which case the unused balance may be forfeited.

10. Governing law & disputes

These Terms are governed by the laws of Hong Kong SAR, without regard to conflict-of-law principles. Disputes are first resolved in good faith by direct contact at [email protected]. Disputes that cannot be settled this way may be referred to arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under its administered arbitration rules in force at the time, with the seat in Hong Kong and proceedings in English.

11. Changes to these Terms

We may revise these Terms from time to time. Material changes are emailed to customers with an active balance, and the "Last updated" date at the top of this page is bumped to match. Continued use of the Service after the effective date of a revision constitutes acceptance of the revised Terms.
